Why the burial is the narrative
An 8-K is allowed to cover more than one item. That is not the fail.
The fail is which sentence gets to be the title of the event. A PIPE 8-K tells the market: we are raising capital, the deal is proceeding. A regulatory-inquiry 8-K tells the market: the trading around our announcement is already a government file. Putting the second fact in the leftover paragraphs of the first document is how a company keeps the financing narrative as the one journalists and investors index.
The November 22 10-Q makes the burial worse. That quarterly report was signed while both inquiries were live. "We forgot to 8-K" is a weaker story once a signed 10-Q has already gone out silent.
Senator Warren's November 17, 2021 letter to Chair Gensler was already public. The company still waited until the PIPE vehicle to write the inquiries down.
The test for the next filing
If the inquiry is material enough to mention at all, it is material enough to be Item 1 of its own current report — or the lead risk factor in the 10-Q — not a coda under a capital raise.

Three TMTG directors left in weeks during the TAE merger. Each 8-K repeated that the departure 'did not arise from any dispute with management.' One disclaimer is routine. Three in a row is a narrative the company chose.
